Botswana Introduces Significant Tax Incentives for Strategic Special Economic Zone Investors

The Government of Botswana has officially published the Income Tax (Strategic Special Economic Zones Investors Development Approval) Order 2026 under Statutory Instrument No. 112 of 2026. Effective 7 August 2026, this landmark fiscal policy establishes a highly competitive tax dispensation tailored specifically for strategic investors and infrastructure developers operating within designated Special Economic Zones across Botswana.

Attractive Corporate Income Tax Structure

Qualifying Strategic SEZ Investors carrying out approved operations can now access substantial fiscal relief through a clear, ten-year concessionary pathway.

  • 0% corporate income tax for the first 2 years of operation
  • 5% corporate income tax for the subsequent 8 years
  • 10% corporate income tax thereafter on qualifying SEZ operations

These preferential rates apply strictly to commercial activities covered by an approved Tax Relief Certificate issued by the Minister of Finance.

Eligibility Criteria for Strategic Investors and Developers

Strategic Investors

To secure strategic investor status, an enterprise must demonstrate clear socio-economic value and a long-term footprint in Botswana. Key qualification benchmarks include

  • Execution of commercial projects of national importance
  • Demonstrable financial and operational capacity for continuous reinvestment and expansion in Botswana
  • Development of sustainable enterprise ecosystems that support and incubate local SMMEs
  • Creation of at least 150 direct jobs
  • Concrete commitment to structured skills transfer and technical training for Botswana citizens
  • Meaningful, measurable contributions to local community and social upliftment

SEZ Developers

Infrastructure developers driving zone industrialisation may qualify where they

  • Hold verified land rights within an SEZ for infrastructure development
  • Demonstrate proven technical expertise and financial capacity to build, administer, and manage specialized economic zone facilities
  • Deploy a minimum capital investment of P400 million
  • Provide direct access to an established network of prospective strategic investors
  • Obtain formal approval for tax relief from the Minister of Finance

Eligible Business Sectors

The incentives target high-impact, export-oriented industries licensed by the Special Economic Zones Authority. Qualifying sectors comprise

  • Agribusiness
  • Manufacturing
  • Warehousing
  • Distribution and logistics services
  • Internationally traded services

The statutory order specifies that qualifying manufacturing entails the substantive transformation of raw materials into new and distinctive products, expressly excluding simple packaging, blending, sorting, diluted mixtures, or basic assembly operations.

Export Threshold Requirements

To maintain export-driven competitiveness, applicants are required to

  • Export 100% of their annual production, manufactured goods, or traded services
  • Alternatively, obtain a formal waiver from the Minister responsible for Trade where domestic market access serves national strategic interests

Treatment of Greenfield Investments, Expansions, and Relocations

The framework accommodates new market entrants as well as existing corporate structures, provided strict economic criteria are satisfied

  • Capital deployed must represent genuinely incremental investment
  • Net new employment opportunities must be created
  • New product lines or specialized service offerings must be generated
  • Existing employment and operational footprints outside the SEZ must not be diminished as a result of the expansion or relocation

Application Process and Governance

Securing benefits under this regime follows a formal statutory approval route

  • Submission of a Development Approval Order application to the Minister of Finance
  • Formal technical review and recommendation report issued by the Special Economic Zones Authority
  • Provision of mandatory compliance documentation, including BURS tax registration for greenfield ventures, a valid Tax Clearance Certificate for existing entities, and an active SEZ operating licence

Upon ministerial approval, successful applicants receive a formal Tax Relief Certificate detailing approved business activities, designated zone boundaries, and applicable tax rates.

Key Compliance and Revocation Rules

  • Tax relief applies exclusively to the approved project and operations specified in the certificate
  • All certified activities must take place within the designated SEZ location
  • Relief is subject to immediate withdrawal if the enterprise ceases operating the approved project
  • The Minister retains statutory authority to revoke the certificate if qualifying conditions are breached

Strategic Commercial Value

This regime solidifies Botswana’s standing as a prime gateway for cross-border trade, regional distribution hubs, and industrial manufacturing across the Southern African region by delivering

  • A predictable ten-year preferential tax roadmap featuring an initial two-year full tax holiday
  • Tailored incentives for high-growth sectors including logistics, manufacturing, agribusiness, and shared corporate services
  • A reliable legal and regulatory environment for institutional investors seeking regional scale
  • Direct alignment between corporate expansion, domestic supply chain integration, and citizen empowerment
